We will carry out all the steps on your behalf to ensure the company is closed properly in the quickest possible timeframe. The required steps of a Voluntary Strike-Off in Ireland are as follows:
- Make sure all Annual Returns and Accounts are up to date
- Draft a Director's statement that the company has ceased trading or has never traded
- Draft minutes of Board Meeting for Directors and Shareholders consent to the dissolution of the company
- Send Letter to Revenue requesting letter of no objection
- Advertise in Irish National Daily Newspaper
- Preparation and filing of form H15 with the Companies Registration Office
Once the above is taken care of, it may take approximately 3 months for the company to be struck off the register. We will, of course, notify you as soon as the company has been struck-off.
We can assist you to change a Limited Company name and we will take the following required steps to complete this task properly:
- Check availability of proposed new company name
- Preparation and filing of Companies Registration Office Form (as per requirements)
- Preparation of an amended Constitution for the company
- Preparation of a Special Resolution, signed by the members
- Directors Board Minutes to pass resolution
- New Company Seal
Please note that your proposed company name may not be available for incorporation if it is considered too similar to a name already on the register. We will be happy to check this for you in advance of the application.
Once your company name is changed, you should notify your bank, customers, suppliers and the Revenue Commissioners straight away. Company headed paper, website, e-mail signatures, compliment slips and business cards will also need to be updated.
